REUSEAPP TERMS OF SERVICE

1. ACCEPTANCE OF TERMS

Welcome to ReuseApp ("we," "our," or "us"). By accessing or using the ReuseApp platform (the "Service"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE SERVICE.

2. DESCRIPTION OF SERVICE

ReuseApp is a web-based platform designed specifically for nonprofit organizations engaged in medical equipment reuse. The Service provides tools for:

  • Client management and record-keeping
  • Medical equipment inventory tracking
  • Equipment matching and distribution management
  • Grant reporting and funder compliance
  • Operational analytics and reporting

The Service is intended to help organizations improve the quality of life for individuals living with disabilities and chronic illness through streamlined operations and better data management.

3. ELIGIBILITY

3.1 Organization Requirements

The Service is designed for and intended to be used by:

  • Registered nonprofit organizations
  • Medical equipment reuse programs
  • Community service organizations
  • Healthcare facilities providing equipment lending services
  • Government agencies administering assistive technology programs

3.2 Age and Authority

You must be at least 18 years old and have the legal capacity to enter into binding contracts. If using the Service on behalf of an organization, you must have authority to bind that organization to these Terms.

3.3 Geographic Restrictions

The Service is currently available to organizations operating in the United States. Use from other jurisdictions may be subject to additional restrictions and compliance requirements.

4. ACCOUNT REGISTRATION AND SECURITY

4.1 Account Creation

To use the Service, you must:

  • Provide accurate, current, and complete registration information
  • Maintain and promptly update your account information
  • Maintain the security and confidentiality of your login credentials
  • Notify us immediately of any unauthorized access or security breach

4.2 Account Responsibility

You are responsible for all activities that occur under your account. You agree to:

  • Use strong passwords and enable two-factor authentication when available
  • Not share your account credentials with others
  • Not allow multiple individuals to use a single account
  • Immediately notify us of any suspected unauthorized use

4.3 Account Termination

We reserve the right to suspend or terminate accounts that:

  • Violate these Terms
  • Are inactive for extended periods
  • Are associated with fraudulent or illegal activity
  • Pose a security risk to the Service or other users

5. SUBSCRIPTION AND PAYMENT TERMS

5.1 Subscription Plans

ReuseApp offers multiple subscription tiers with varying features, client limits, and support levels. Current pricing and plan details are available at [website/pricing].

5.2 Payment

  • Subscriptions may be billed monthly or annually
  • Payment is due in advance for the selected billing period
  • All fees are non-refundable except as expressly provided in these Terms
  • Prices are subject to change with 30 days' notice

5.3 Free Trial

We may offer a free trial period for new users:

  • No credit card required for trial activation
  • Full access to Growth plan features during trial period
  • Trial automatically expires after 30 days unless a paid subscription is activated
  • We reserve the right to modify or discontinue free trials at any time

5.4 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless:

  • You cancel your subscription before the renewal date
  • Your payment method fails
  • We terminate your account

5.5 Cancellation and Refunds

  • You may cancel your subscription at any time through your account settings
  • Cancellation takes effect at the end of the current billing period
  • No refunds are provided for partial billing periods
  • Upon cancellation, you retain access to the Service until the end of the paid period
  • After cancellation, your data is retained for 90 days before permanent deletion

5.6 Failed Payments

If payment fails:

  • We will attempt to charge your payment method up to 3 times
  • You will receive email notifications of payment failures
  • After 10 days of failed payment, your account may be suspended
  • After 30 days of non-payment, your account may be terminated

5.7 Nonprofit Pricing

Special pricing may be available for qualifying nonprofit organizations. Contact [sales@reuseapp.com] for information about nonprofit discounts and verification requirements.

6. ACCEPTABLE USE POLICY

6.1 Permitted Uses

You may use the Service only for lawful purposes and in accordance with these Terms. Specifically, you may use the Service to:

  • Manage client records for your medical equipment reuse program
  • Track donated, refurbished, and distributed equipment
  • Generate reports for funders and grant compliance
  • Facilitate equipment matching and distribution
  • Analyze operational metrics

6.2 Prohibited Uses

You may NOT use the Service to:

  • Violate any applicable laws, regulations, or ordinances
  • Infringe upon intellectual property rights of others
  • Upload or transmit malicious code, viruses, or harmful software
  • Attempt to gain unauthorized access to the Service or other users' accounts
  • Interfere with or disrupt the integrity or performance of the Service
  • Use the Service for purposes other than medical equipment reuse operations
  • Resell, sublicense, or otherwise commercialize the Service
  • Use automated systems (bots, scrapers) without our written permission
  • Store or transmit content that is illegal, harmful, threatening, abusive, or defamatory
  • Violate the privacy or other rights of third parties
  • Engage in any activity that could damage our reputation or goodwill

6.3 HIPAA and Protected Health Information

While the Service is designed with privacy and security in mind:

  • ReuseApp is HIPAA-compliant for Business Associate Agreement (BAA) customers
  • You are responsible for ensuring your use complies with HIPAA requirements
  • Do not store Protected Health Information (PHI) without executing a BAA with us

6.4 Data Accuracy

You are responsible for:

  • The accuracy, quality, and legality of data you submit to the Service
  • Obtaining necessary consents from clients for data collection and storage
  • Complying with applicable privacy laws and regulations
  • Maintaining appropriate data retention and deletion policies

7. INTELLECTUAL PROPERTY RIGHTS

7.1 ReuseApp Ownership

The Service, including all software, designs, text, graphics, logos, and other content (excluding User Content), is owned by ReuseApp and protected by copyright, trademark, and other intellectual property laws. You receive no ownership rights in the Service.

7.2 Limited License to Use Service

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your organization's medical equipment reuse operations.

7.3 User Content License

By uploading content to the Service ("User Content"), you grant us:

  • A worldwide, non-exclusive, royalty-free license to use, store, reproduce, and process your User Content solely to provide the Service
  • The right to make backup copies for disaster recovery and service continuity
  • The right to aggregate and anonymize data for service improvement and analytics

We will NOT:

  • Sell your User Content to third parties
  • Use your User Content for marketing without your permission
  • Share identifiable client information with third parties (except as required by law or with your consent)

7.4 Feedback and Suggestions

If you provide feedback, suggestions, or ideas about the Service:

  • You grant us an unrestricted, perpetual license to use such feedback
  • We have no obligation to compensate you for feedback
  • We have no obligation to implement your suggestions

7.5 Trademarks

"ReuseApp" and associated logos are trademarks of ReuseApp. You may not use our trademarks without our prior written consent.

8. PRIVACY AND DATA PROTECTION

8.1 Privacy Policy

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our Privacy Policy.

8.2 Data Security

We implement reasonable security measures to protect your data, including:

  • Encryption of data in transit and at rest
  • Regular security audits and vulnerability assessments
  • Access controls and authentication requirements
  • Employee training on data security and privacy
  • Incident response procedures

However, no system is completely secure, and we cannot guarantee absolute security.

8.3 Data Ownership

You retain all ownership rights to your User Content. We claim no ownership over your client data, equipment records, or other information you store in the Service.

8.4 Data Portability

You may export your data at any time in standard formats (CSV, PDF, Excel). Upon request, we will provide your complete data in machine-readable format.

8.5 Data Retention After Termination

Upon account termination:

  • Your data remains accessible for 90 days
  • After 90 days, data is permanently deleted from our active systems
  • Backup copies are deleted according to our standard retention schedule (180 days)
  • You may request early deletion by contacting [support@reuseapp.com]

9. SERVICE AVAILABILITY AND MODIFICATIONS

9.1 Service Availability

We strive to provide reliable, continuous access to the Service. However, we do not guarantee:

  • Uninterrupted or error-free operation
  • That defects will be corrected immediately
  • That the Service will meet your specific requirements
  • Specific uptime percentages (except as provided in Enterprise-level SLAs)

9.2 Maintenance and Downtime

We may:

  • Perform scheduled maintenance with advance notice
  • Conduct emergency maintenance without notice when necessary
  • Temporarily suspend access during maintenance periods
  • Update, modify, or enhance the Service at our discretion

9.3 Service Modifications

We reserve the right to:

  • Add, modify, or remove features at any time
  • Change how the Service operates
  • Update system requirements
  • Discontinue the Service with 90 days' notice

We will make reasonable efforts to:

  • Notify you of material changes in advance
  • Minimize disruption to your operations
  • Provide migration assistance for significant changes

9.4 Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control, including:

  • Natural disasters
  • Acts of government or terrorism
  • Network or infrastructure failures
  • Pandemics or public health emergencies
  • Labor disputes
  • Third-party service provider failures

10. THIRD-PARTY SERVICES AND INTEGRATIONS

10.1 Third-Party Services

The Service may integrate with or contain links to third-party services, including:

  • Payment processors
  • Cloud storage providers
  • Email delivery services
  • Analytics platforms

10.2 Third-Party Terms

Your use of third-party services is subject to their respective terms and privacy policies. We are not responsible for:

  • The availability or reliability of third-party services
  • The content, policies, or practices of third-party services
  • Any damages arising from your use of third-party services

10.3 No Endorsement

Links to or integrations with third-party services do not constitute our endorsement of those services.

11. LIMITATION OF LIABILITY

11.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY, RELIABILITY, OR COMPLETENESS OF CONTENT
  • UNINTERRUPTED OR ERROR-FREE OPERATION

11.2 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REUSEAPP SHALL NOT BE LIABLE FOR:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • LOSS OF PROFITS, REVENUE, DATA, OR USE
  • BUSINESS INTERRUPTION
  • COST OF SUBSTITUTE SERVICES

ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICE, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11.3 Cap on Liability

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF:

  • THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR
  • $100

11.4 Exceptions

Some jurisdictions do not allow certain liability exclusions or limitations. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

11.5 Assumption of Risk

You acknowledge and agree that:

  • You are responsible for implementing appropriate backup procedures
  • Data loss may occur despite our reasonable precautions
  • You should maintain independent records of critical information
  • The Service is a tool to assist your operations, not a replacement for professional judgment

12. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless ReuseApp, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use or misuse of the Service
  • Your violation of these Terms
  • Your violation of any rights of third parties
  • Your violation of applicable laws or regulations
  • User Content you submit to the Service
  • Your negligence or willful misconduct

We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense.

13. DISPUTE RESOLUTION

13.1 Informal Resolution

Before filing a claim, you agree to contact us at [legal@reuseapp.com] and attempt to resolve the dispute informally. We will attempt to resolve disputes in good faith.

13.2 Governing Law

These Terms are governed by the laws of the State of [STATE], without regard to conflict of law principles.

13.3 Arbitration Agreement

Any dispute arising out of or related to these Terms or the Service that cannot be resolved informally shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

YOU AND REUSEAPP AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

13.6 Small Claims Court

Either party may bring an individual action in small claims court as an alternative to arbitration, provided the claim qualifies for small claims jurisdiction.

14. TERMINATION

14.1 Termination by You

You may terminate your account at any time by:

  • Canceling your subscription through account settings
  • Contacting us at [support@reuseapp.com]

14.2 Termination by Us

We may suspend or terminate your account:

  • For violation of these Terms
  • For nonpayment
  • For extended inactivity (with 30 days' notice)
  • For conduct that harms or may harm other users or the Service
  • If required by law or legal process
  • At our discretion with 30 days' notice

14.3 Effect of Termination

Upon termination:

  • Your right to access the Service immediately ceases
  • Outstanding fees become immediately due and payable
  • Your data is retained for 90 days before permanent deletion
  • Sections of these Terms that by their nature should survive will continue to apply

14.4 No Refund Upon Termination

Termination does not entitle you to a refund of prepaid fees except:

  • Termination by us without cause (prorated refund of unused period)
  • As otherwise required by law

15. GENERAL PROVISIONS

15.1 Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and ReuseApp regarding the Service.

15.2 Amendments

We may modify these Terms at any time by:

  • Posting updated Terms on our website
  • Notifying you via email or Service notification
  • Requiring acceptance for material changes

Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms.

15.3 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

15.4 No Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

15.5 Assignment

You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms at any time without restriction.

15.6 Independent Contractors

Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and ReuseApp.

15.8 Export Compliance

You agree to comply with all applicable export and import laws and regulations. You represent that you are not located in, under the control of, or a national or resident of any restricted country.

15.9 Government Users

If you are a U.S. government entity, the Service is "Commercial Computer Software" and "Commercial Computer Software Documentation" as defined in FAR 12.212 and DFARS 227.7202. Use is subject to these Terms.
